About the Role

Lotus & Dorje is an Ohio-based, legally registered LLC and an evidence-led consulting Center of Excellence focused on IT service management, data, analytics, AI, digital products, operational improvement, and growth-focused services. The Board Director will provide independent governance, strategic oversight, and accountable guidance as the organization establishes sustainable operating pathways. This appointment will help ensure that strategy, leadership structures, financial stewardship, risk management, service quality, and responsible growth remain aligned. The director will govern and advise; day-to-day management remains with executive leadership.

What You'll Do

  • Help establish the organization’s governance model, decision rights, committee structure, and executive accountability pathways.
  • Review and challenge organizational strategy, annual priorities, service-line development, product direction, and expansion plans.
  • Oversee financial stewardship, cash-flow strategy, risk exposure, internal controls, and long-term organizational sustainability.
  • Monitor executive performance, organizational capability, succession planning, and leadership development.
  • Ensure the organization maintains appropriate legal, ethical, cybersecurity, privacy, quality, and compliance oversight.
  • Review material partnerships, investments, contracts, enterprise risks, and proposed changes to the operating model.
  • Use independent judgment to balance stakeholder interests, mission, responsible growth, and organizational resilience.
  • Ensure board decisions, conflicts of interest, risks, and follow-up actions are documented and tracked.
  • Support pathways for consulting services, digital products, e-commerce capabilities, and future market expansion.
  • Participate in scheduled board and committee meetings and prepare thoroughly for governance decisions.

Process owned

Board governance, strategic oversight, executive accountability, risk supervision, and organizational-pathway development.

Automation deliverable

Establish a transparent board decision register, governance calendar, risk dashboard, action tracker, and executive reporting framework.

Weekly evidence

Board and committee preparation is evidenced through reviewed materials, documented decisions, assigned actions, risk updates, and follow-through appropriate to the meeting cadence.

Success measures

A functioning governance model; clear decision rights; responsible financial and risk oversight; accountable executive pathways; documented board actions; and measurable progress toward sustainable consulting, product, and service growth.

What You'll Bring

  • Master’s degree, doctorate, or comparable advanced degree in Business Administration, Finance, Information Technology, Computer Science, Management, Marketing, or a closely related discipline appropriate to the role.
  • At least seven years of progressive leadership, governance, consulting, finance, technology, operations, product, or organizational-development experience.
  • Demonstrated ability to guide strategy, governance, financial oversight, enterprise risk, and organizational performance.
  • Ability to exercise independent judgment, maintain confidentiality, identify conflicts of interest, and meet fiduciary and ethical responsibilities.
  • Experience working with executives, boards, founders, clients, professional advisers, or multidisciplinary leadership teams.
  • Strong written communication, financial literacy, risk awareness, and evidence-based decision-making skills.
  • Availability for scheduled board meetings, committee responsibilities, document review, and time-sensitive governance decisions.

Nice to Have

Prior board, advisory-board, executive, IT consulting, professional-services, responsible AI, cybersecurity, SaaS, data, product, or Ohio business experience is preferred. Governance education or certification is beneficial.
